Registration procedure for legal entities and individual enterpreuners was updated

On April 1, 2020, the Ministry of Justice amended the Procedure for state registration of legal entities, individual entrepreneurs and public entities that do not have legal personality. The relevant order No. 1307/5 was adopted in order to improve the state registration in electronic form.

This order amended the procedure for state registration of applications in electronic form. So now you can do it without leaving your home, which is especially important during the quarantine period.

What exactly does the document provide for?

First of all, the document abolished restrictions on submission of documents for state registration in electronic form. Yes, the rule according to which documents for state registration of changes to information about a legal entity contained in the Unified State Register in connection with a change of the head of legal entity, the size of the authorized (compound) capital (mutual fund) or the share size of each of the founders is excluded (participants), as well as other cases provided for by law, were submitted solely in paper form.

Also, some nuances of state registration of applications in electronic form have been identified. In particular, an application in electronic form must be filed with the signature of its applicant using high-confidence electronic identification means and in cases provided for by law, subject to payment for full state registration services. Such application shall be submitted with the attachment of the original documents for state registration in electronic form, provided by law.

PLEASE NOTE if state registration requires the submission of a notarized document and / or document confirming the registration of a non-resident legal entity in the country of its location, and / or a notarized copy of the identity document that confirms the final beneficial owner of the legal entity, electronic copies of such documents, produced by scanning with the imposition of QES (qualified electronic signature) of the applicant, shall be attached.

Upon registration of the application, the applicant is given a code of access to the results of the examination of the relevant documents.

In this case, the date and time of registration of the application in the Unified State Register shall be considered as the moment of acceptance of the application and documents for state registration in electronic form.

Registration of applications in electronic form is carried out in the order of their receipt, including taking into account the applications submitted in paper form.

As for the payment of such administrative service, it is made by the applicant through the Internet using the payment systems and / or software of the Unified State Electronic Services Web Portal. However, if such payment is recorded by means of web portal software, the document on payment of the administrative fee is not submitted,

It should be noted that the order was registered by the Ministry of Justice on April 2, 2020 at 323/34606 and came into force on April 4, 2020.
